Agreement Formation and Acceptance

This End User License Agreement (EULA) constitutes a legally binding contract between you (the end user) and Moruk, LLC governing your download, installation, and use of our iOS application. By clicking 'Install,' 'Download,' or using the app in any manner, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this EULA.

Definitions and Interpretation

For purposes of this EULA:

• 'App' or 'Application' means our iOS software application and any updates, modifications, or enhancements
• 'Device' means any iOS-compatible device on which you install the App
• 'License' means the rights granted to you under this EULA
• 'Moruk' refers to Moruk, LLC, a Wyoming limited liability company
• 'You' or 'User' means the individual or entity using the App

Eligibility and Capacity

You represent and warrant that:

• You are at least 13 years of age (if under 18, you have parental consent)
• You have the legal capacity to enter into this binding agreement
• You are not prohibited from using the App under applicable laws
• All information you provide is accurate and complete
• You will comply with all applicable local, state, federal, and international laws

License Grant and Scope

Subject to your compliance with this EULA, Moruk grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and install the App on iOS devices you own or control
• Use the App solely for personal, non-commercial purposes
• Access and use App features in accordance with their intended functionality
• Receive automatic updates and bug fixes (subject to your device settings)

Permitted Uses and Activities

You are expressly permitted to:

• Install the App on multiple iOS devices you own or control
• Create backup copies as automatically generated by iOS
• Use the App's features for legitimate personal productivity purposes
• Share App-generated content (subject to applicable terms)
• Provide feedback and suggestions for App improvement

Prohibited Uses and Restrictions

You are strictly prohibited from:

• Reverse engineering, decompiling, disassembling, or attempting to derive source code
• Modifying, adapting, altering, translating, or creating derivative works
• Distributing, leasing, renting, selling, sublicensing, or otherwise transferring the App
• Removing, altering, or obscuring any proprietary notices, labels, or marks
• Using the App for commercial purposes without explicit written authorization
• Circumventing or attempting to circumvent any security measures
• Using automated tools to access or interact with the App
• Transmitting viruses, malware, or other harmful code through the App
• Violating any applicable laws or regulations through your use of the App

Comprehensive Intellectual Property Protection

The App and all associated intellectual property rights are and remain the exclusive property of Moruk, LLC, including:

• All software code, algorithms, and programming logic
• User interface designs, graphics, layouts, and visual elements
• Text content, images, icons, and multimedia materials
• Trademarks, service marks, logos, and brand elements
• Trade secrets, proprietary technologies, and know-how
• Patents (issued and pending), copyrights, and other intellectual property rights
• This EULA grants you no ownership rights or licenses beyond those explicitly stated

App Store Integration and Compliance

Your use of the App through Apple's App Store is additionally governed by:

• Apple's App Store Terms of Service and Usage Rules
• Apple's privacy policies and data handling practices
• Apple's payment processing terms (for any in-app purchases)
• In case of conflict between this EULA and Apple's terms, Apple's terms govern App Store-related matters
• Apple is not responsible for the App's functionality or your compliance with this EULA

Data Privacy and Security

Our data practices are governed by our comprehensive Privacy Policy, which includes:

• Collection of only anonymous analytics data necessary for App functionality
• Implementation of privacy-by-design principles throughout the App
• No collection of personal identifying information without explicit consent
• Strong security measures to protect any data that is collected
• Compliance with applicable privacy laws including GDPR, CCPA, and COPPA
• Transparent disclosure of all data collection and usage practices

Updates, Modifications, and Version Control

We may provide App updates that include:

• Bug fixes and performance improvements
• New features and functionality enhancements
• Security patches and vulnerability corrections
• Compatibility updates for new iOS versions
• Updates are generally optional but may be required for security or functionality
• This EULA applies to all updates unless they include separate license terms
• We reserve the right to discontinue support for older App versions

Third-Party Components and Services

The App may incorporate third-party components or connect to third-party services:

• Third-party components are subject to their respective licenses
• We are not responsible for third-party content, services, or policies
• Your use of third-party services is subject to their terms and conditions
• We make no warranties regarding third-party components or services
• Third-party integrations may be modified or discontinued without notice

Comprehensive Warranty Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, INCLUDING:

• EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS
• WARRANTIES THAT THE APP WILL BE ERROR-FREE, VIRUS-FREE, OR UNINTERRUPTED
• WARRANTIES REGARDING SECURITY, DATA PROTECTION, OR PRIVACY
• WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OF TRADE, OR PERFORMANCE
• ANY WARRANTIES REGARDING COMPATIBILITY WITH FUTURE iOS VERSIONS OR DEVICES

Limitation of Liability and Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORUK, LLC SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT
• DAMAGES EXCEEDING THE AMOUNT YOU PAID FOR THE APP (IF ANY) IN THE PAST 12 MONTHS
• DAMAGES CAUSED BY YOUR MISUSE OF THE APP OR VIOLATION OF THIS EULA
• OUR TOTAL LIABILITY SHALL NOT EXCEED $100 REGARDLESS OF THE LEGAL THEORY

User Indemnification

You agree to defend, indemnify, and hold harmless Moruk, LLC, its officers, directors, employees, agents, and affiliates from and against all claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

• Your use or misuse of the App
• Your violation of this EULA or applicable laws
• Your violation of any third-party rights
• Any content you create or share using the App
• Any false or misleading information you provide

Termination and Effect of Termination

This EULA may be terminated:

• By you at any time by deleting the App from all your devices
• By us immediately if you violate any terms of this EULA
• By us with 30 days notice for convenience or business reasons
• Automatically if the App is discontinued or removed from the App Store
• Upon termination, your license immediately ceases and you must delete the App
• Provisions regarding intellectual property, warranties, and liability survive termination

Export Control and Legal Compliance

You acknowledge that the App may be subject to export control laws and regulations. You agree to:

• Comply with all applicable export control and economic sanctions laws
• Not export or re-export the App to prohibited countries or individuals
• Not use the App for prohibited end uses (such as weapons development)
• Obtain any required export licenses before transferring the App
• Notify us immediately of any compliance concerns or violations

Dispute Resolution and Arbitration

Any disputes arising from this EULA will be resolved through:

• Good faith negotiations as the preferred first step
• Binding individual arbitration under AAA Commercial Arbitration Rules
• Arbitration conducted in Wyoming, United States
• You waive any right to participate in class action lawsuits or class-wide arbitration
• Small claims court remains available for qualifying disputes

Governing Law and Jurisdiction

This EULA is governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any legal proceedings must be brought in the federal or state courts located in Wyoming, and you consent to personal jurisdiction in such courts.

Severability and Interpretation

If any provision of this EULA is found invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely achieves the original intent.

Entire Agreement and Modifications

This EULA, together with our Privacy Policy and Terms of Service, constitutes the entire agreement between you and Moruk regarding the App and supersedes all prior agreements and understandings. We may modify this EULA with reasonable notice.
